These Terms of Service (“Terms”) govern your access to and use of the TruePrivacy platform and website (collectively, the “Services”) provided by LowerPlane, Inc. (“TruePrivacy”, “we”, “us”, or “our”). Please read these Terms carefully before using our Services.

By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and LowerPlane, Inc. Your use of the Services constitutes your acceptance of these Terms, our Privacy Policy, and any other policies referenced herein.

If you do not agree to these Terms, you must not access or use the Services. We reserve the right to modify these Terms at any time. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.

2. Description of Service

TruePrivacy is a privacy compliance automation platform that helps organizations manage data subject requests (DSRs), maintain records of processing activities (RoPA), manage consent, conduct privacy impact assessments, and comply with privacy regulations including GDPR, CCPA, and India's DPDP Act.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time. We will provide reasonable notice of material changes to paying customers. TruePrivacy does not provide legal advice. The Services are tools to assist with compliance operations, not a substitute for qualified legal counsel.

3. Account Registration

To access the Services, you must create an account. You agree to:

  • Provide accurate, complete, and current registration information.
  • Maintain and promptly update your account information to keep it accurate.
  • Maintain the confidentiality of your credentials and be responsible for all activity under your account.
  • Notify us immediately at security@trueprivacy.io of any unauthorized access to your account.
  • Not share your account credentials with any third party or allow multiple individuals to access the Services under a single account (unless your plan includes multiple seats).

We may terminate or suspend your account if we determine that any information you provided is inaccurate, false, or outdated.

4. Subscription & Billing

4.1 Plans and Fees

TruePrivacy offers subscription plans as described on our pricing page. All fees are stated in USD unless otherwise indicated and are exclusive of applicable taxes. We reserve the right to change pricing with 30 days' notice to existing subscribers.

4.2 Payment

Subscriptions are billed in advance on a monthly or annual basis. By providing payment information, you authorize us to charge your payment method for all fees incurred. All payments are processed by Stripe and are subject to Stripe's terms of service.

4.3 Refunds

Monthly subscriptions may be cancelled at any time; no refunds are provided for the current billing period. Annual subscriptions cancelled within 14 days of initial purchase are eligible for a full refund. After 14 days, annual fees are non-refundable except as required by applicable law.

4.4 Taxes

You are responsible for all taxes, duties, and levies applicable to your subscription. For customers in India, applicable GST will be charged at the current rate.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in any way that violates applicable laws or regulations.
  • Transmit or store any data that is unlawful, harmful, defamatory, obscene, or otherwise objectionable.
  • Attempt to gain unauthorized access to any part of the Services or related systems.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code from the Services.
  • Use the Services to develop a competing product or service.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Circumvent or attempt to circumvent any technical measures we use to provide the Services.
  • Use automated means to scrape or extract data from the Services.

We reserve the right to suspend or terminate accounts that violate these restrictions without notice.

6. Intellectual Property

6.1 Our IP

The Services, including all software, content, design, trademarks, and technology, are owned by LowerPlane, Inc. or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services during your subscription term, solely for your internal business purposes.

6.2 Your Content

You retain all rights to the data and content you upload to the Services (“Customer Data”). By using the Services, you grant us a limited license to process your Customer Data solely to provide the Services to you, as described in our Data Processing Agreement.

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about the Services, you grant us an irrevocable, perpetual, royalty-free license to use, reproduce, and incorporate that feedback without any obligation to compensate you.

7. Data Processing

If you upload personal data to the Services, we act as a data processor on your behalf and you act as the data controller. Our processing of such data is governed by our Data Processing Agreement (“DPA”), which is incorporated into these Terms by reference and is available upon request.

You are responsible for ensuring that you have the legal right to upload personal data to the Services and that your use of the Services complies with applicable data protection laws. You must not upload special categories of sensitive personal data unless your subscription plan supports such processing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUEPRIVACY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD 100.

Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless TruePrivacy and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable legal fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your Customer Data or any data you submit to the Services; or (d) your violation of any applicable law or the rights of any third party.

10. Termination

Either party may terminate the agreement formed by these Terms at any time. You may cancel your subscription through your account settings or by contacting us. We may terminate or suspend your access immediately if you breach these Terms, fail to pay fees, or if required by law.

Upon termination, your right to access the Services ceases immediately. We will retain your Customer Data for 30 days following termination, after which it will be deleted. You may request an export of your data before termination at any time through your account settings. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and governing law) shall survive.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. The courts of San Francisco, California, United States shall have exclusive jurisdiction to resolve any dispute arising out of or relating to these Terms or the Services.

For customers in the European Union, mandatory consumer protection laws of your country of residence may provide you with additional rights that cannot be waived by these Terms.

12. Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email (for account holders) or via a prominent notice on our website. Your continued use of the Services after the effective date of updated Terms constitutes acceptance. If you do not agree to the updated Terms, you must stop using the Services before the effective date.
